Terms and Conditions

By accessing or using BidPing (the "Service"), available at bidping.io and bidping.com, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms apply to all users, including General Contractors, project managers, estimators, and any other individuals or entities who access the Service.

BidPing is a web-based software application that provides automated subcontractor bid tracking and follow-up tools for General Contractors. The Service includes:

• Automated email and SMS follow-up to subcontractors
• Real-time bid status tracking across multiple projects
• Subcontractor invitation and response management
• Dashboard reporting and project management tools

BidPing reserves the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice to subscribers.

To access the Service, you must create an account by providing a valid email address and password. You agree to:

• Provide accurate and complete registration information
• Maintain the security and confidentiality of your login credentials
• Notify BidPing immediately of any unauthorized use of your account
• Accept responsibility for all activity that occurs under your account

BidPing reserves the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

Access to BidPing requires a paid subscription. Current pricing is:

• First User: $200.00 per month (full access, all features)
• Each Additional User: $150.00 per month
• Annual Plan: 15% discount applied to the monthly rate

Subscriptions are billed on a recurring monthly or annual basis. By subscribing, you authorize BidPing to charge your payment method on file at the start of each billing cycle.

BidPing may offer a 14-day free trial to new users. No credit card is required to begin a trial. At the end of the trial period, continued access requires a paid subscription. BidPing reserves the right to modify or discontinue the free trial at any time.

BidPing reserves the right to change subscription pricing with at least 30 days advance written notice to active subscribers. Continued use after the effective date constitutes acceptance of the new pricing.

You may cancel your subscription at any time through your account settings or by contacting support@bidping.com. Cancellation takes effect at the end of the current billing period. BidPing does not provide prorated refunds for unused portions of a billing cycle.

All fees paid are non-refundable except where required by applicable law or at BidPing's sole discretion in cases of documented service failure.

You agree to use BidPing only for lawful business purposes. You may not:

• Use the Service to send unsolicited commercial messages (spam)
• Upload or transmit malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to BidPing systems or other user accounts
• Resell, sublicense, or transfer access to the Service without written authorization
• Use the Service to harass, defame, or harm any individual or business
• Scrape, copy, or reverse-engineer any part of the BidPing platform

Violation of this section may result in immediate account suspension or termination without refund.

All content, code, design, trademarks, and intellectual property associated with BidPing — including the application software, landing pages, logos, and written materials — are owned by BidPing and protected under U.S. copyright law (registered), trademark law, and applicable intellectual property statutes.

You are granted a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes only. This license does not include the right to copy, modify, distribute, or create derivative works based on BidPing's intellectual property.

Any data you upload or input into BidPing — including subcontractor contact information, project details, and bid records — remains your property. BidPing will not sell or share your data with third parties except as required to operate the Service.

BidPing employs industry-standard security measures to protect your data. However, no online service can guarantee absolute security. You acknowledge and accept this inherent risk.

By using BidPing's automated follow-up features, you represent that you have obtained any necessary consent from subcontractor recipients to receive automated email and SMS communications on your behalf. You are solely responsible for compliance with the CAN-SPAM Act, TCPA, and applicable state communication laws.

BidPing integrates with third-party services including Twilio (SMS), Supabase (database), Stripe (payments), and email providers. Your use of these services through BidPing is subject to their respective terms of service. BidPing is not responsible for the performance, availability, or policies of third-party providers.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

BidPing does not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. You use the Service at your own risk.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIDPING AND ITS OWNERS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION.

IN NO EVENT SHALL BIDPING'S TOTAL CUMULATIVE LIABILITY EXCEED THE AMOUNT YOU PAID TO BIDPING IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless BidPing and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; or (c) your violation of any applicable law or third-party rights.

BidPing may suspend or terminate your account at any time for violation of these Terms, non-payment, or fraudulent activity. Upon termination, your right to access the Service ceases immediately.

You may terminate your account at any time by canceling your subscription. Sections 7, 10, 11, 12, and 14 of these Terms survive termination.

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes shall be resolved exclusively in state or federal courts in Dallas County, Texas.

Before initiating legal proceedings, both parties agree to attempt in good faith to resolve any dispute through informal negotiation for a period of 30 days.

BidPing reserves the right to update these Terms at any time. Revised Terms will be posted at this page with an updated effective date. Continued use of the Service after the effective date constitutes acceptance. For material changes, BidPing will notify active subscribers by email at least 14 days in advance.
